Official Rules and Regulations
NO PURCHASE NECESSARY. Making a purchase will not improve one’s chances of winning. Many will enter. Few will win. THIS CONTEST CONTAINS A BINDING ARBITRATION CLAUSE.
SPONSOR. ProSource Wholesale; 4301 Earth City Expressway; St. Louis, Missouri 63045 ("Sponsor").
ADMINISTRATOR. Leading Edge Marketing, Inc.; 4301 Earth City Expressway; St. Louis, Missouri 63045 ("Administrator").
ELIGIBILITY. Contest is limited to trade pros who are members of a ProSource showroom and who are legal residents of the fifty (50) United States and District of Columbia and are eighteen (18) years of age or older at the time of entry. Only one entry per trade pro member. Sponsor, Administrator, their respective parent companies, subsidiaries, affiliates, employees, contractors, and advertising/promotional agencies, and the immediate families and household members of each of the above, are not eligible to enter or win. Subject to all applicable Federal, state, and local laws. By entering this contest, you agree to be bound by these Official Rules. Void where prohibited.
CONTEST PERIOD. The contest begins at 12:01 am Central Time on January 1, 2024 and ends at 11:59 pm Central Time on November 30, 2024 (the "Contest Period").
HOW TO ENTER. You must enter by sharing on Facebook using #prosourceprojects or on Instagram using @prosource_wholesale. You also can log in at prosourcewholesale.com or download our app to create a digital project and upload photos with project details before the end of the Contest Period. Upon completion of your submission, you will automatically be entered for your chance to win. No other method of entry or participation is valid. Any attempts by an entrant to defraud or game this entry system or to submit a photo created by someone other than the entrant will result in such entrant being disqualified.
WINNER SELECTION. Administrator will appoint a panel of three judges from its staff. Ten winners will be selected based on the following judging criteria: creativity (50%) and project design (50%). Potential winners will be notified by telephone or email and must respond to such notification within 24 hours after notification or an alternate winner will be selected from the remaining eligible entries. Any alternate potential winner selected will also be required to respond to the notification within the time frame stated above. The winners must sign and return all required documentation prior to receipt of the prize including affidavits of eligibility and liability/publicity releases, except where prohibited by law, within five (5) days following the date of attempted notification. Once the confirmed winner accepts the prize, they will be emailed information pertaining to the prize. No assignment, transfer or substitution of prize is permitted, except by the Sponsor and Administrator who may substitute a prize of equal or greater value. Limit one (1) prize per person or household.
PRIZES. Winners’ projects will each be highlighted in the “Best of 2024” lookbook.

GENERAL RULES. All entries and prize claims become the property of Sponsor and will not be returned. Released Parties (as defined below) assume no responsibility for lost, late, stolen, delayed, damaged, misdirected, undelivered, illegible, incomplete or postage-due entries, prize claims or mail. Except where prohibited, by accepting a prize, winners consent to the use by Sponsor and its designees of their names and/or photographs for advertising and publicity purposes in any and all media now or hereafter known throughout the world in perpetuity without limitation and without additional compensation, notification or permission. By participating in this promotion, each entrant accepts and agrees (i) to be bound by these Official Rules and the decisions of the Administrator, which shall be final and binding in all respects, and (ii) to release Sponsor, Administrator and their respective parents, subsidiaries, affiliates and advertising and promotion agencies, and the respective directors, officers, employees and agencies of the foregoing (collectively, the "Released Parties") from any and all liability of any injuries, losses or damages of any kind caused by participating in this promotion or resulting from acceptance, or use/misuse of the prize. Entries generated by script, macro, or other automated means will be void. You will not post, advertise or otherwise promote this contest on any online website, page, or forum dedicated primarily to the exchange of information about contest or contests or participate in any commercial contest/Promotion subscription notification and/or entering services – any such entries will void your Entries and you may be disqualified. Sponsor reserves the right at its sole discretion to disqualify any individual that tampers or attempts to tamper with the entry process or the operation of the promotion or website, violates the Official Rules, or acts in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten, or harass any other person. CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION IS A VIOLATION THE CONTEST RULES AND OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW. Released Parties are not responsible for technical, hardware or software malfunctions, telephone failures of any kind, lost or unavailable network connections, or failed, incorrect, inaccurate, incomplete, garbled or delayed electronic communications whether caused by the sender or by any of the equipment or programming associated with or utilized in this promotion which may limit the ability to participate or by any human error which may occur in the processing of entries in this promotion. Sponsor reserves the right to modify, terminate, or suspend the online entry should virus, bugs, non-authorized human intervention, or other causes corrupt the administration, security, fairness, or proper play of the promotion. These contest rules constitute the full agreement relating to the promotion. In the event of any conflict between these rules and any of the documents relating to the promotion, these rules shall prevail.
You acknowledge that the promotion is in no way sponsored, endorsed or administered by, or associated with, Facebook, Instagram or any other social networking service. You understand that by entering the promotion you are providing personal information to Sponsor and the various users of such social networks, but specifically not to Facebook, Instagram or such social networking services. You further agree to indemnify and hold harmless Facebook, Instagram or any other applicable social networking service from and against any and all liability resulting or arising from the Contest and to release all rights to bring any claim, action or proceeding against such social networks.
For Canadian residents only: to claim a prize, Canadian residents must first correctly answer, without assistance of any kind, a mathematical skill-testing question at a mutually agreed upon time. The question must be answered correctly within a predetermined amount of time. In the event that it is not answered correctly, the selected person will be disqualified and an alternate will be selected.
DISPUTES. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant or Contest Entities in connection with the Contest, or any claim or dispute that has arisen or may arise between you and the Contest Entities, shall be governed by, and construed in accordance with, the laws of the State of Missouri without giving effect to any choice of law or conflict of law rules. By participating in this Contest, each entrant agrees that: (i) Any claim, dispute, or controversy (whether in contract, tort, or otherwise) arising out of, relating to, or connected in any way with the Contest or the awarding or redemption of prizes will be resolved exclusively by final and binding arbitration conducted pursuant to the AAA's Procedures for Consumer-Related Disputes in conjunction with the AAA's Commercial Arbitration Rules (if and as applicable depending on the amount in controversy); (ii) This arbitration agreement is made pursuant to a transaction governed by the Federal Arbitration Act ("FAA"), 9 U.S.C. §§ 1-16; (iii) The arbitration shall be held at the AAA regional office nearest the entrant; (iv) The arbitrator's decision shall be controlled by the terms and conditions of these Official Rules and any of the other agreements referenced herein that the applicable entrant may have entered into in connection with the Contest; (v) The arbitrator shall apply Missouri law consistent with the FAA and applicable statutes of limitations and shall honor claims of privilege recognized at law; (vi) There shall be no authority for any claims to be arbitrated on a class or representative basis; arbitration can decide only the entrant's and/or Sponsors individual claims and the arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated; (vii) The arbitrator shall not have the power to award punitive damages against any party; (viii) In the event that the administrative fees and deposits the entrant is required to pay under the AAA rules exceed $125, and the entrant is unable to pay the additional fees and deposits, Sponsors retains the right to forward them to the AAA on the entrant's behalf, subject to ultimate allocation by the arbitrator. In addition, if the entrant is able to demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, the Contest Entities retain the right to pay as much of the entrant filing and hearing fees in connection with the arbitration as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive; and (ix) If any part of this Arbitration Provision is deemed to be invalid or otherwise unenforceable or illegal, the balance of this Arbitration Provision shall remain in effect and shall be construed in accordance with its terms as if the invalid or illegal provision were not contained herein.
WINNERS LIST REQUEST. Winner information will be available at the end of the contest. For a copy of the winners list, send a self-addressed, stamped envelope referencing “ProSource Wholesale Best of 2024 Lookbook Winners" c/o ProSource Wholesale ATTN: Marketing Department, 4301 Earth City Expressway, Earth City, MO 63045. Residents of Washington and Vermont may omit return postage.
PRIVACY. If you are verified as a prize winner, your first name, last initial, city and state may be included in a publicly available winner’s list.
GRANT AND RELEASE. All entries and prize claims become the property of sponsor and will not be returned to you. By participating in this promotion, you are granting to sponsor and administrator and their designees the right to (1) publicize your name, city and state of residence, prize information, photograph, voice, statements, and/or other likeness; and/or (2) edit, modify, post, re-post, publish, or otherwise use photographs, videos, testimonials, posts, statements or other information submitted by you as part of this promotion, all for advertising, promotional, trade, and any other purpose, in any media or format now known or hereafter devised, throughout the world, in perpetuity, without limitation and without further compensation, consideration, permission or notification, unless prohibited by law. You (on behalf of yourself and your heirs, successors and assigns) waive all rights and now and forever release and discharge sponsor, administrator and the released parties and shall neither sue nor bring any proceeding against, any such parties, for any claim or cause of action, whether now known or unknown, for defamation, invasion of right to privacy, publicity or personality or any similar matter, claim, demand, loss, expense, damage, liability, action, or causes of action of any nature or in any way based upon or relating to your participation in this promotion or the exercise by sponsor and/or administrator and/or their designees of the rights you have granted to them hereunder.
